Beyond the deal
The same senior read, with or without a deal.
Tech DNA is best known for technical due diligence in acquisitions. Boards, insurers, investors, lenders and executive teams bring in the same senior team and the same method when they need an independent view of a technology platform: what it is, how well it is built and run, and where the risk and the strengths sit.
Scope
What we look at
Whatever the reason, the assessment is scoped to the platform and the question being asked, not a package off a rate card. Most cover six areas.
Architecture and code quality
How the system is put together, how the code reads, and whether the structure will carry the roadmap. We read the repositories rather than relying on diagrams.
Security and data handling
Authentication, access control, secrets, encryption, and how personal and sensitive data moves through the system. A penetration test can be added where the question calls for it.
Scalability and reliability
Whether the platform can carry more customers and more load, and what breaks first. Deployment, monitoring, incident history and recovery.
Engineering practice and team
How the team ships: testing, code review, release discipline, documentation, key-person dependence, and how outsourced or offshore work is controlled.
Open source and third parties
Which licenses are in the code and what they oblige, supply-chain exposure, and the vendors and platforms the business cannot run without.
Infrastructure and run cost
Cloud and hosting posture, what it costs to run today, and what the next stage of growth will cost. Where AI features exist, whether they are real and durable.
Situations
Situations that call for an outside view
Risk and governance
Board and audit committee review
Directors accountable for technology risk want an independent view before a major platform decision, or as part of regular oversight.
Underwriting and insurance
Insurers and underwriters ask us to verify security controls, resilience and engineering practice before pricing cyber or technology cover.
Capital and ownership
Investor and lender review
Existing or prospective backers, a refinancing or a growth round. Anyone putting money behind a business wants to understand the technology it rests on.
Internal and portfolio assessment
No deal required. When the CEO or the fund asks “what do we actually have?”, we run the same method on your own technology or a portfolio company’s.
Leadership and operations
New leadership baseline
A new CTO, or a candidate for the role: a fact-based picture of the platform before they take, or are handed, the keys.
After an incident
An outage, a breach, or a release that went wrong. An independent read on what happened, why, and what it will take to prevent a repeat.
Exit and beyond
Exit readiness
Know what a buyer’s diligence will find before they do. The same assessment, run for the seller, with time to fix what matters.
Value creation and planning
After a deal closes: a practical roadmap that turns findings into owners, effort and sequence, with the technology upside sized alongside the risk.
